1. Agreement to Terms

By accessing or using F4RM.io, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

F4RM.io is provided as free software. There is no fee for using the core functionality of the Platform.

2. Description of the Service

F4RM.io is a farm management platform that provides tools to help agricultural operators manage their operations. The Service includes, but is not limited to:

Farm Management: Create and manage farms, fields, farm members, and invitations
Livestock Management: Track livestock, breeding records, health records, weight records, and genetic predictions (EPD)
Crop Management: Manage crops, planting, harvest, fertilizer, irrigation, pesticide, and growth records
Document Management: Upload, store, search, and manage documents; AI-assisted document description and invoice/receipt data extraction
Accounting: GAAP-compliant general ledger, income/expense tracking, balance sheet, income statement, trial balance, Schedule F, and year-end closing
Equipment & Buildings: Track equipment and buildings with maintenance records and schedules
Inventory: Manage inventory items and records
Tasks & Activity: Task management, activity logs, alerts, draft actions
Insurance: Insurance policy and claim management
Contracts: Contract management
Marketplace: Listings and favorites for farm-related buying and selling
AI Agent: Chat-based AI assistant for farm-related queries
Weather & Soil: Current weather, forecasts, historical weather, and soil conditions (via third-party providers)
Feature Requests: Submit and upvote feature suggestions

The Service may integrate with third-party services (e.g., Firebase, Open-Meteo, AI providers). Use of those services may be subject to their respective terms.

3. Eligibility

You must be at least 13 years of age (or the age of legal capacity in your jurisdiction) to use the Service. By using the Service, you represent that you meet these requirements and have the authority to enter into these Terms.

4. Your Responsibilities

You agree to:

Provide accurate and complete information when creating an account and using the Service
Maintain the security of your account credentials
Use the Service only for lawful purposes and in accordance with these Terms
Not use the Service to violate any laws, regulations, or third-party rights
Not attempt to gain unauthorized access to the Service, other accounts, or systems
Not transmit malicious code, viruses, or harmful content
Be responsible for all activity under your account
Ensure you have the right to upload and process any documents or data you submit
Use accounting, financial, and other data outputs for informational purposes and seek professional advice where appropriate

5. Free Software – No Warranty

5.1 "As Is" Provision

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

We make no warranty that:

The Service will meet your requirements or expectations
The Service will be uninterrupted, timely, secure, or error-free
Results obtained from the Service (including AI outputs, accounting reports, weather data, genetic predictions, document extractions) will be accurate, complete, or reliable
Any defects will be corrected

5.2 No Professional Advice

The Service provides tools for farm management. It does not constitute professional advice in accounting, tax, legal, agricultural, veterinary, or other professional domains. You are solely responsible for verifying all data, seeking advice from qualified professionals where appropriate, and making your own decisions.

6. Limitation of Liability

6.1 Maximum Limitation

To the fullest extent permitted by applicable law, in no event shall F4RM.io, its affiliates, licensors, contributors, or any of their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business interruption, or any other intangible losses, arising out of or in connection with:

Your use of or inability to use the Service
Any conduct or content of any third party
Any content obtained from the Service
Unauthorized access, use, or alteration of your data or transmissions

6.2 Cap on Liability

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed zero dollars (0 USD) or the minimum amount permitted by applicable law, whichever is greater.

Because the Service is provided free of charge, our liability is limited to the maximum extent permitted by law.

6.3 Acknowledgment

You acknowledge that you have not paid any consideration for the use of the Service and that these limitations of liability reflect a reasonable allocation of risk.

7. Indemnification

You agree to indemnify, defend, and hold harmless F4RM.io and its affiliates, licensors, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any law or third-party rights
Your content or data
Any dispute between you and another user

8. Intellectual Property

The Service, including its design, features, and underlying technology, is protected by intellectual property laws. Subject to any applicable open-source licenses, we retain all rights in the Service. You may not copy, modify, distribute, or create derivative works without our express permission, except as permitted by applicable open-source licenses.

9. Data and Content

You retain ownership of the data and content you upload to the Service. By uploading content, you grant us a limited license to use, store, process, and display that content as necessary to provide and operate the Service, including for AI processing and backup purposes. Our use of your data is further described in our Privacy Policy.

10. Service Availability and Modifications

We do not guarantee uninterrupted availability of the Service. We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including but not limited to Sections 5, 6, 7, 8, and 12) will survive termination.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which F4RM.io operates, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction there.

Class Action Waiver: To the extent permitted by law, you agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and F4RM.io.
Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment: You may not assign these Terms. We may assign our rights and obligations without restriction.
Force Majeure: We are not liable for any failure or delay caused by circumstances beyond our reasonable control (e.g., natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure failures).

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
